Terms of Use

These Terms of Use set out the rules governing your access to and conduct on the Complimate platform, including the handling of user-submitted content, AI-generated outputs, and third-party links. They apply in addition to, and should be read together with, our Terms & Conditions, Privacy Policy, and Disclaimer.

Purpose and Scope

These Terms of Use govern your access to and use of the Complimate web application, mobile application (if any), and related interfaces (collectively, the "Platform"), operated by Complimate Technologies LLP ("Complimate", "we", "our", or "us"). They supplement, and do not replace, our Terms & Conditions, which govern the overall commercial relationship between you and Complimate, including subscriptions, fees, and liability.

By accessing or using the Platform, you agree to comply with these Terms of Use. If you do not agree, you must stop using the Platform.

Eligibility and Authorized Use

The Platform is intended solely for use by professionals, businesses, and adults who are legally competent to enter into a binding contract under the Indian Contract Act, 1872. You may only access the Platform through an Account that has been authorized for your use, whether by direct registration or by invitation from a partner, associate, or company administrator.

You must use the Platform strictly in accordance with your assigned role and permissions (for example, as a Partner, Associate, or Company user), and must not attempt to access data, clients, or features outside the scope of your authorized role.

Account Access and Security

You are responsible for keeping your login credentials, including passwords and any two-factor authentication method, secure and confidential, and for all activity that takes place under your Account. Additional account security obligations are set out in our Terms & Conditions.

You must notify us immediately at support@complimate.in if you become aware of any unauthorized use of your Account or any other security breach.

Acceptable Use of the Platform

You must use the Platform only for lawful purposes and in accordance with these Terms of Use, our Terms & Conditions (including the full Acceptable Use Policy set out therein), and Applicable Law. In particular, you agree that you shall not:

  • Attempt to gain unauthorized access to the Platform, other Users' accounts or data, or any systems or networks connected to the Platform;
  • Use any robot, spider, scraper, crawler, or other automated means to access, extract, or index data from the Platform without our prior written consent;
  • Probe, scan, or test the vulnerability of the Platform, or attempt to breach any security or authentication measures, without our prior written authorization;
  • Upload malware, corrupted files, or any code designed to interrupt, damage, or limit the functionality of the Platform or any User's device;
  • Upload false, fraudulent, or misleading records, or misrepresent filings, deadlines, or statutory positions to any client, colleague, or authority;
  • Use the Platform to harass, defame, impersonate, or invade the privacy of any person; or
  • Use the Platform in a manner that threatens the unity, integrity, security, or sovereignty of India, or that violates any Applicable Law.

User-Submitted Content and Takedown Procedure

You are solely responsible for all Uploaded Data, Client Data, and other content you submit through the Platform ("User-Submitted Content"), and for ensuring you have the legal right to submit it, as further described in our Terms & Conditions and Privacy Policy.

If you become aware of any User-Submitted Content on the Platform that you believe violates these Terms of Use, our Acceptable Use Policy, or Applicable Law, you may report it to our Grievance Officer at grievance@complimate.in, providing sufficient detail to allow us to identify and evaluate the content.

Upon receiving actual knowledge, by way of a court order or a notification from an appropriate government agency in accordance with Applicable Law, that any information on the Platform is being used to commit an unlawful act, Complimate shall remove or disable access to such information as expeditiously as possible, and in any event within thirty-six (36) hours, in accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

AI-Generated Outputs and Accuracy Limitations

Certain features of the Platform generate compliance checklists, due diligence summaries, or other outputs using a combination of a curated obligation library and AI-assisted tools. These outputs are intended to support, not replace, professional judgment.

Results depend on the quality and completeness of the source data, uploaded documents, and client profile information provided. You must independently verify all key fields, statutory provisions, thresholds, and dates before saving, submitting, filing, or otherwise relying on any output generated through the Platform. Further limitations are described in our Disclaimer.

Intellectual Property in Platform Content

All text, graphics, logos, icons, interface design, and other content made available on or through the Platform (excluding User-Submitted Content) is the property of Complimate Technologies LLP or its licensors and is protected under applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any such content without our prior written consent, except to the extent necessary to use the Platform for its intended purpose.

Cookies and Tracking Technologies

The Platform uses cookies and similar tracking technologies to maintain session integrity, enhance user experience, and collect aggregate usage data, as described in detail in our Privacy Policy. By continuing to use the Platform, you consent to the use of cookies as described therein.

Availability, Modifications, and Interruptions of Service

We aim to keep the Platform available at all times, but do not guarantee uninterrupted or error-free access. The Platform may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control, including those described in the Force Majeure section of our Terms & Conditions.

We may modify, add to, or remove features of the Platform from time to time, and will provide reasonable notice of any change that materially affects your use of a paid Subscription.

Export Control and Compliance with Laws

You agree to comply with all Applicable Law in connection with your access to and use of the Platform, including any applicable export control, anti-money laundering, and data localization requirements. You must not use the Platform in any jurisdiction where such use would be unlawful.

Termination of Access

We may suspend or terminate your access to the Platform for any violation of these Terms of Use, in accordance with the suspension and termination provisions of our Terms & Conditions. You may stop using the Platform, and request closure of your Account, at any time as described in our Terms & Conditions.

In accordance with the Information Technology Act, 2000, the rules made thereunder, and the Digital Personal Data Protection Act, 2023, complaints regarding these Terms of Use, User-Submitted Content, or the Platform generally may be addressed to our Grievance Officer: Angad Singh Hora, Email: grievance@complimate.in. Governing Law and Jurisdiction

These Terms of Use are governed by the laws of India. Any dispute arising out of or in connection with these Terms of Use shall be resolved in accordance with the dispute resolution mechanism set out in our Terms & Conditions, including good-faith negotiation, arbitration seated in New Delhi, and the exclusive jurisdiction of the courts at New Delhi, India for interim relief and enforcement.
