It should be read together with our Terms & Conditions, Terms of Use, and Privacy Policy, each of which is incorporated by reference.

Purpose of This Disclaimer

Complimate Technologies LLP ("Complimate", "we", "our", or "us") operates a cloud-based compliance management platform, browser extension, and related tools (collectively, the "Platform") intended to help professionals, businesses, and their clients organize, track, and streamline statutory and regulatory compliance work. This Disclaimer sets out the limitations that apply to all information, features, tools, and outputs made available through the Platform, and is intended to ensure that Users understand precisely what the Platform does and does not do before relying on it.

By accessing or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by this Disclaimer, in addition to our Terms & Conditions, Terms of Use, and Privacy Policy. If you do not agree with any part of this Disclaimer, you must stop using the Platform.

General Informational and Workflow Purpose Only

All content, checklists, templates, reminders, calculators, reports, and other information made available through the Platform are provided for general informational and workflow-organization purposes only. The Platform is a tool designed to help Users track, structure, and manage compliance-related work more efficiently; it is not, and is not intended to be, a source of definitive legal, regulatory, tax, secretarial, financial, or accounting authority.

Nothing on the Platform should be construed as a representation, warranty, or guarantee that any obligation, deadline, threshold, filing requirement, or regulatory position identified through the Platform is complete, current, or applicable to your specific facts and circumstances.

AI-Assisted Outputs and Their Limitations

Certain features of the Platform generate compliance checklists, due diligence summaries, document drafts, or other outputs using a combination of a curated compliance obligation library and artificial intelligence or machine-learning-assisted tools ("AI Features"). AI Features are probabilistic in nature: they generate outputs based on patterns in data and the information you provide, and are designed to accelerate and support your own review, not to replace it.

AI-generated outputs may be incomplete, outdated, factually incorrect, internally inconsistent, or unsuitable for a specific filing, entity, jurisdiction, or client situation, notwithstanding any confident or authoritative tone in which such outputs are presented. AI Features may also occasionally generate content that appears plausible but is inaccurate (sometimes referred to as "hallucination"), including citations to provisions, sections, or notifications that do not exist or do not say what the output suggests. You must independently verify every material statement, statutory citation, threshold, date, and factual claim generated by an AI Feature before relying on it, saving it, sharing it with a client, or using it as the basis for any filing, submission, or advice.

Complimate does not warrant the accuracy, completeness, reliability, or fitness for any particular purpose of any AI-generated output, and disclaims all liability for actions taken or not taken in reliance on such output, to the fullest extent permitted by Applicable Law.

Compliance Checklists and the Obligation Library

The compliance checklists and obligation tracking features on the Platform are built from a curated library of statutory and regulatory obligations applicable to certain classes of entities in India, supplemented in places by AI-assisted interpretation. This library is maintained on a best-efforts basis and is not exhaustive. It may not reflect every obligation applicable to your entity, sector, state, or specific corporate structure, and may not account for entity-specific exemptions, sector-specific regulations, or recent regulatory changes that have not yet been incorporated.

A checklist generated by the Platform showing a set of obligations as complete, applicable, or not applicable is a workflow status only, and is not a certification, opinion, or assurance of actual legal compliance. You remain solely responsible for independently identifying and verifying all obligations applicable to your entity or client, including through consultation with a qualified professional where appropriate.

Due Diligence Reports and Analysis

The due diligence module allows Users to upload documents for automated review, flagging, and summary generation, including AI-assisted analysis of contracts, corporate records, and other materials. Outputs generated through this module (including any due diligence report, whether viewed on-screen, exported as markdown, or generated as a PDF) reflect an automated, document-based review only and are limited by the completeness, quality, and legibility of the documents actually uploaded.

A due diligence report generated through the Platform is not a legal opinion, does not constitute a certification of the target entity's compliance status or good standing, and must not be relied upon as a substitute for a review conducted by a qualified legal, financial, or secretarial professional with full access to the relevant physical records, statutory registers, and regulatory filings. Material errors, omissions, or misclassifications may occur, particularly where source documents are incomplete, poorly scanned, in a non-standard format, or otherwise not suited to automated analysis.

DPDP and Data Protection Compliance Tools

The Platform's DPDP-related tools, including onboarding questionnaires, website and data-flow scans, and compliance reports generated with respect to the Digital Personal Data Protection Act, 2023, are designed to help identify potential gaps and generate a starting compliance posture. These tools operate based on the information you provide and automated scanning of the inputs you specify, and cannot detect every data flow, processing activity, third-party integration, or legal basis relevant to your organization's actual data protection posture.

A DPDP report, score, or recommendation generated through the Platform is not a certification of compliance with the Digital Personal Data Protection Act, 2023, or any rules, notifications, or guidance issued thereunder, and does not constitute legal advice on your obligations as a Data Fiduciary or Data Processor. You remain solely responsible for conducting a complete and accurate data protection assessment, obtaining appropriate legal advice, and implementing all measures required under Applicable Law.

MCA Form-Filler, Autofill Extension, and Government Portals

The Complimate browser extension and related form-filler tools are designed to autofill statutory forms (including MCA e-filing forms) using data that you already hold within your own Complimate account, in order to reduce manual re-entry and transcription errors. These tools are a data-entry convenience only. They do not verify the legal correctness, completeness, or currency of the underlying data, do not validate the form against the latest requirements of the relevant government portal, and do not themselves submit, file, or lodge any form with the Ministry of Corporate Affairs or any other authority unless you take the affirmative step of reviewing and submitting it yourself.

You are solely and fully responsible for reviewing every autofilled field for accuracy before submission, for ensuring the correct form and schema version is used, and for the consequences of any filing made using the extension, including incorrect, incomplete, or late filings. Complimate does not control, and is not responsible for, the availability, functioning, or requirements of the MCA portal or any other third-party government portal, and any interruption, error, or change on such portals is entirely outside our control.

Calculators, Applicability Tools, and Interactive Utilities

Calculators, applicability checkers, threshold tools, and similar interactive utilities available on the Platform produce results based on the inputs you provide and a set of assumptions, formulae, or rule-sets built into the tool at a given point in time. These results are indicative and intended for preliminary reference only. They may not account for every exception, transitional provision, sector-specific rule, or subsequent regulatory amendment, and may produce different results than a full professional assessment of your specific facts.

You must not treat the output of any calculator or applicability tool as a final or authoritative determination of any statutory threshold, applicability, classification, or filing requirement. Independent verification against the underlying statute, rule, or notification, and consultation with a qualified professional where appropriate, is required before you rely on such output.

Document Generator and Templates

The document generation tools and templates available on the Platform (including board resolutions, policies, notices, and other draft documents) are provided as generic starting points intended to be reviewed, customized, and, where necessary, revised by a qualified professional before execution or use. Templates may not reflect the specific requirements of your entity's constitutional documents, the applicable state or sector-specific requirements, or the latest form of any statutory precedent.

Complimate does not warrant that any generated document is legally valid, complete, or suitable for your specific purpose, and accepts no responsibility for any consequence arising from the execution, filing, or use of a document generated through the Platform without appropriate independent review.

Blog, Market Updates, and Editorial Content

Articles, market updates, notifications summaries, and other editorial content published on the Platform (including the blog and market updates sections) reflect the understanding of the author or the AI-assisted drafting tool as of the date of publication, and are provided for general awareness only. Such content is not updated retroactively to reflect subsequent regulatory changes unless expressly stated, and should not be treated as a current or complete statement of the law on any topic.

Views expressed in editorial content are not necessarily the views of Complimate, and must not be relied upon as legal, tax, or professional advice. You should verify any regulatory development referenced in such content against the primary source (the relevant Act, rule, circular, or notification) before acting on it.

Regulatory Changes and No Guarantee of Currency

Laws, rules, notifications, circulars, forms, and filing requirements applicable in India change frequently, and often with limited or retrospective notice. While Complimate makes reasonable efforts to keep the compliance obligation library, calculators, and other reference content up to date, we do not guarantee that any information on the Platform reflects the most recent legal or regulatory position at the time you access it.

The Platform should be used as a workflow aid and organizational tool that supplements, and does not replace, your own diligence in monitoring regulatory changes and the advice of a qualified professional who is current on developments relevant to your entity or client.

User Verification Responsibility

You are solely responsible for independently checking all statutory provisions, thresholds, deadlines, form versions, and document completeness before taking any action based on information or outputs obtained through the Platform, including before making any filing, submission, representation, or business decision. This responsibility applies regardless of whether the relevant output was generated by the obligation library, an AI Feature, a calculator, a due diligence report, or any other tool on the Platform.

Where you are a professional (such as a company secretary, chartered accountant, or advocate) using the Platform to service your own clients, you remain solely responsible for exercising independent professional judgment, and for ensuring that any advice or filing provided to your client meets the standard of care applicable to your profession, irrespective of any output generated by the Platform.

No Warranty

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL INFORMATION, TOOLS, CHECKLISTS, REPORTS, CALCULATORS, TEMPLATES, AND OTHER OUTPUTS MADE AVAILABLE THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF ACCURACY, COMPLETENESS, CURRENTNESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

COMPLIMATE DOES NOT WARRANT THAT ANY OUTPUT GENERATED THROUGH THE PLATFORM WILL BE ERROR-FREE, WILL SATISFY YOUR OR YOUR CLIENT'S SPECIFIC COMPLIANCE REQUIREMENTS, OR WILL BE ACCEPTED BY ANY GOVERNMENT AUTHORITY, REGULATOR, AUDITOR, OR COURT.

Limitation of Liability

To the fullest extent permitted by Applicable Law, Complimate, its officers, partners, employees, and agents shall not be liable for any loss, damage, penalty, regulatory action, missed deadline, incorrect filing, or other adverse consequence arising out of or in connection with your, or your client's, use of, or reliance on, any information, tool, checklist, report, calculator, template, or AI-generated output made available through the Platform. This limitation is in addition to, and does not narrow, the Disclaimers of Warranties and Limitation of Liability provisions set out in our Terms & Conditions, which continue to apply in full to your use of the Platform.

Amendments to This Disclaimer

Complimate may update this Disclaimer from time to time to reflect changes in the Platform's features, our practices, or Applicable Law. We will post the revised Disclaimer on the Platform with an updated "Last Updated" date. Your continued use of the Platform after the effective date of any revised Disclaimer constitutes your acceptance of the revised terms.
